OLD GREENWICH, Conn., Jan. 24, 2022 (GLOBE NEWSWIRE) — Star Equity Holdings, Inc. (Nasdaq: STRR; STRRP) (�Star Equity or the Company), a diversified holding company, announced today the closing of its previously announced underwritten public offering of 9,500,000 shares of its common stock (or pre-funded warrants to purchase shares of common stock in lieu thereof) and warrants to purchase up to 9,500,000 shares of the Companys common stock (the common warrants). Each share of common stock (or pre-funded warrant in lieu thereof) was sold together with one common warrant to purchase one share of common stock at a price of $1.50 per share and common warrant. Gross proceeds, before deducting underwriting discounts and offering expenses, are approximately $14.26 million.
Certain members of the Companys management and board purchased approximately 12.4% of the offering or 1,180,100 common stock and warrants. Jeffrey E. Eberwein, the Companys Executive Chairman, David J. Noble, the Companys Chief Financial Officer, and Richard K. Coleman, Jr., the Companys Chief Operating Officer, purchased 1,075,000, 30,000, and 33,400 shares, respectively, of Star Equitys common stock and warrants in the offering. Also, board members Michael A. Cunnion and John W. Gildea, purchased 8,300 and 33,400 shares, respectively, of Star Equitys common stock and warrants in the offering.
The common warrants are immediately exercisable at a price of $1.50 per share of common stock and will expire five years from the date of issuance. The shares of common stock (or pre-funded warrants in lieu thereof) and the accompanying common warrants were only able to be purchased together in the offering but were issued separately.
Maxim Group LLC acted as sole book-running manager for the offering.
Star Equity also has granted to the underwriter a 45-day option to purchase up to an additional 1,425,000 shares of common stock and/or common warrants to purchase up to an additional 1,425,000 shares of common stock, at the public offering price less underwriting discounts. The underwriter partially exercised its option and purchased an additional 1,425,000 warrants, each representing the right to purchase one share of common stock.
