Reynolds Group Holdings Limited Announces Pricing of Financing for Graham Packaging Company Inc.

LAKE FOREST, Ill.–(BUSINESS WIRE)–Reynolds Group Holdings Limited (“Reynolds Group”) announced today the pricing of $510 million aggregate principal amount of 7.125% senior notes due 2028 for its subsidiary, Graham Packaging Company Inc. and its subsidiaries (collectively, “Graham Packaging”). In addition, Graham Packaging intends to enter a senior secured credit facility, under which Graham Packaging Company Inc. will borrow $1,475 million in first lien term loans and establish commitments for the borrowing of revolving loans in an amount up to $100 million. The financing is expected to close on August 4, 2020, subject to customary closing conditions. Graham Packaging intends to use the net proceeds from the financing to settle balances with, and to make distributions to, Reynolds Group.

The notes offered will not be registered under the Securities Act of 1933, as amended (the “Securities Act”), or any state securities laws and unless so registered, the notes may not be offered or sold in the United States without registration or an applicable exemption from the registration requirements of the Securities Act and applicable state securities or blue sky laws and foreign securities laws.
